1. Introduction and Acceptance

These Terms of Service ("Terms") govern your use of all integrations provided by Interacti Digital LLC ("we," "us," or "our"), including but not limited to our Typeform integration for monday.com (the "Integration"), and any related services (collectively, the "Services").

By installing, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use our Services.

2. Our Services

Interacti Digital LLC provides software integrations that connect third-party applications, such as Typeform, with the monday.com Work OS platform. Our Services are designed to automate workflows and enhance productivity.

We are not affiliated with, endorsed by, or acting on behalf of monday.com or Typeform. The use of monday.com and any third-party platforms we integrate with is governed by their own respective terms of service and privacy policies. You must comply with all applicable third-party terms when using our Services.

The functionality of our Services depends on the APIs and stability of the platforms we integrate with. Any service interruptions, changes, or updates by these platforms may impact our Services. We are not liable for any disruptions or consequences resulting from such third-party platform changes.

3. Data and Security

Our Services are built and deployed using monday.com's infrastructure and development framework. We utilize monday.com's secure storage for any data required for the operation of the integration, such as authentication tokens and integration settings.

We do not collect or store your data on any separate databases or external servers. All data processing related to the integration occurs within the monday.com environment, ensuring your information is handled according to monday.com's security standards.

4. User Accounts

To use our Services, you must have an active monday.com account. You do not create a separate account with Interacti Digital LLC. Your access to our Services is managed through your monday.com account. You are responsible for all activities that occur under your account and for maintaining the security of your monday.com credentials.

5. Purchases and Payment

Our Services are offered under various usage-based subscription plans. By purchasing a subscription, you agree to provide accurate and current payment information and authorize us to charge your chosen payment method for the services selected.

Our pricing is based on the number of automations performed. An "automation" is counted only when an integration recipe successfully completes its intended action. For example, if a condition in a recipe is met and an item is created in monday.com from a Typeform submission, one automation is counted. If the condition is not met and no action is taken, it is not counted against your usage limit.

All prices are subject to change, and all payments are subject to applicable taxes.

6. Cancellation and Subscription Renewals

You may cancel your subscription at any time through the monday.com marketplace or your account settings. Cancellation will be effective at the end of your current billing period. No refunds are provided for partial or unused portions of your subscription term.

To ensure uninterrupted service, subscriptions automatically renew at the end of each billing period unless canceled. You are responsible for canceling your subscription before the renewal date to avoid future charges.

7. Intellectual Property Rights

We retain all right, title, and interest in and to our Services, including all related software, source code, designs, and trademarks ("Our IP"). We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes, subject to these Terms. Unauthorized use, copying, or redistribution of Our IP is strictly prohibited.

8. Prohibited Activities

You agree not to use the Services to:

• Engage in any unlawful or fraudulent activity.
• Distribute viruses, malware, or other harmful software.
• Attempt to reverse engineer, decompile, or disassemble our software.
• Infringe upon the intellectual property rights of others.
• Interfere with the proper functioning of the Services or the systems of monday.com.

9. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which details how we handle data within the monday.com ecosystem. By using our Services, you consent to the practices described in our Privacy Policy.

10. Indemnification

You agree to indemnify, defend, and hold harmless Interacti Digital LLC and its officers, directors, and employees from any claims, damages, liabilities, costs, or expenses (including reasonable attorney's fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We reserve the right to suspend or terminate your access to the Services at our sole discretion, without notice, if you violate these Terms or engage in any conduct that we deem harmful to our company, the Services, or other users.

12. Modifications to Services and Terms

We reserve the right to modify or discontinue the Services (or any part thereof) at any time. We also reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date. Your continued use of the Services after any modifications constitutes your acceptance of the new Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in the State of Delaware, and the parties hereby consent to the personal jurisdiction and venue therein.
